Can a forfeited LLC sell property in Maryland?

Short answer: no, and the title company will not let you try. If the LLC on the deed shows "Forfeited" on the SDAT website, settlement stops until the charter is restored. Why the title company stopped your closing

Checking the seller's entity status on Maryland Business Express is a standard part of every title search. When the LLC that holds the deed comes back forfeited, the underwriter sees an entity whose charter the state has revoked. A forfeited Maryland LLC has no legal authority to enter contracts, and a deed is a contract. No underwriter will insure title coming out of a revoked entity, because a deed signed while the charter was forfeited leaves a cloud on the title that follows the property to the next owner and the one after that.

So the file sits. The buyer's lender won't fund, the buyer's attorney starts asking questions, and everyone looks at you for a date. The good news is that this is one of the most fixable problems in a real estate transaction, if you move quickly.

What forfeiture actually did to your LLC

Maryland forfeits an LLC charter mainly for missed Annual Reports (the $300 Form 1 due each April 15), and sometimes over an unpaid state tax balance. Once forfeited, the company loses the right to do business in Maryland. It can't sign contracts, can't bring a lawsuit, and its name loses protection against being claimed by someone else.

The property itself doesn't go anywhere. The deed still shows your LLC as the owner, and reinstatement restores the company with the same name, same EIN, and same history. What's missing is the company's authority to act, and that's exactly the piece a sale requires.

One trap worth naming: some owners consider signing the deed personally, or quietly dating documents around the problem. Don't. Title underwriters have seen every version of this, and a defective conveyance can unwind a sale months later. Reinstatement is cheaper than any workaround.

How fast can it be fixed before settlement?

Reinstating a Maryland LLC is a two step administrative filing with SDAT. No court, no lawyer needed.

  1. File every delinquent Annual Report. SDAT won't accept a reinstatement while any year is outstanding. State fee is $300 per missed year.
  2. File Articles of Reinstatement. A $100 state fee restores the charter. If your resident agent has resigned or moved, that gets updated in the same filing.

On standard processing, SDAT takes roughly 7 business days once everything is filed. If your settlement is two or three weeks out, standard timing usually works. If it's this week, SDAT offers expedited handling for an additional $425 state fee, and on a clean case (no tax hold, no name conflict) the LLC is typically back in good standing within 24 hours. When taxes are the holdup

If the Comptroller placed a tax hold on the entity, SDAT requires tax clearance before it will process the reinstatement. Older penalties sometimes sit with the Central Collection Unit, which adds its own collection fee on top. These cases still get resolved, but they can't hit a 24 hour timeline, so the day you learn about a hold is the day to start.
