How to file for good standing in Maryland: LLCs and corporations
To file for good standing in Maryland you clear whatever caused the forfeiture, file every missed Annual Report with SDAT, pay the late penalties, then file Articles of Reinstatement (LLC) or Articles of Revival (corporation) through Maryland Business Express. State fees are $300 per missed report year plus $100 for the reinstatement filing. Once SDAT accepts it, the record flips back to Active and you can order the Certificate of Status a bank or title company is asking for.
What does "file for good standing" actually mean?
It means one of two things, and owners mix them up constantly. The first is filing to restore good standing: your SDAT record says Forfeited or Not in Good Standing, and a set of filings has to go in before the status changes. The second is filing to prove good standing: the company is already Active and someone wants the paper that says so, which Maryland calls a Certificate of Status (other states call it a certificate of good standing). If a lender, title company or licensing board sent you here, check the SDAT record first. If it reads Active, skip to the certificate section. If it reads Forfeited, the certificate request will fail until the restoration filings go through, and that is the bulk of this page.
Which filing restores good standing for my entity type?
Maryland uses a different document for each entity type, and SDAT rejects the wrong one. The table below is the whole map.
| Entity | Status on SDAT | Filing that restores it | State fee | Plus |
|---|---|---|---|---|
| Maryland LLC | Forfeited | Articles of Reinstatement | $100 | $300 per missed Annual Report year |
| Maryland stock corporation | Forfeited | Articles of Revival | $100 | $300 per missed Annual Report year |
| Maryland nonstock or nonprofit corporation | Forfeited | Articles of Revival | $100 | Most back reports file at no state fee |
| Foreign (out of state) LLC | Forfeited or authority revoked | Foreign LLC re-registration | $100 | Back reports, plus a home state Certificate of Status |
| Foreign corporation | Forfeited or authority revoked | Foreign corporation re-qualification | $100 | Back reports, plus a home state Certificate of Status |
| Any entity, already Active | Active | Nothing; order a Certificate of Status | Small SDAT fee | Issued online, usually same day |
SDAT publishes the sequence in its own Good Standing Checklist: find the reason for forfeiture in Filing History, cure it, catch up every Annual Report and Business Personal Property Return, pay the penalties, then file the reinstatement document. Every one of those steps happens on Maryland Business Express. Nothing needs a trip to Baltimore.
How do I file for good standing in Maryland, step by step?
- Pull the Filing History on SDAT. The entry labeled Dept. Action, Forfeiture tells you why. Nine times out of ten it is unfiled Annual Reports. The rest are a resigned resident agent, a bounced payment, or a Comptroller tax hold.
- Cure the reason. A missing resident agent takes a one page change of agent filing. A bounced check means repaying the original amount plus the returned payment fee. A tax hold means the Comptroller or the Central Collection Unit has to clear you first, and that is a separate process we cover on the tax clearance and CCU page.
- File every missed Annual Report (Form 1). One per year, oldest first, $300 each for LLCs and stock corporations, with the late penalty SDAT calculates on screen. If the company reported business personal property, each year's return goes in with the report. Skipping a year gets the whole package rejected.
- File the reinstatement document. Articles of Reinstatement for an LLC, Articles of Revival for a corporation, $100 either way. The form asks for the entity name exactly as SDAT has it, the resident agent, and a signature from an authorized person.
- Decide on expedited processing. Standard review takes weeks. The $425 SDAT expedite fee moves clean filings to the front of the line, and good standing is typically confirmed within 24 hours. Our cost guide walks through when it pays for itself.
- Confirm the status flipped, then order the certificate. Search the entity again. When it reads Active, order the Certificate of Status online. That is the document a lender, buyer or licensing board wants, and it is only issuable once the record is clean.
Why does SDAT keep rejecting my good standing filing?
Almost always because something upstream is still open. The common rejections, in the order we see them: a missed report year the owner didn't know about, a Business Personal Property Return that was due with one of the reports, a name that no longer matches because another company registered it during the forfeiture, a resident agent who resigned years ago, or a state tax hold that no SDAT filing can get around. The first four are fixable the same day. The tax hold is the one that stretches a case from days to weeks, and it is why we ask about Comptroller notices during intake before promising any timeline.
What does it cost to file for good standing in Maryland?
State fees are fixed and published: $300 per missed Annual Report year, $100 for the reinstatement or revival filing, and $425 if you want the expedite. Our service fees are flat too, $575 to prepare and file the reinstatement and $200 when back reports are needed, so a Maryland LLC two years behind runs about $1,496 all in and a corporation six years behind about $2,732. The only variable is how many years you missed. Every worked total is on the cost to reinstate page.
Can I file for good standing myself?
Yes. Maryland Business Express is built for owners, the forms are short, and if your record shows one missed year and no holds, you can finish in an afternoon. People hire us for three reasons: the company is several years behind and the package has to go in exactly right the first time, a closing or contract is waiting and a rejection costs more than our fee, or the Filing History shows a hold and nobody on the owner's side knows which office to call. Fixing a forfeited business in Maryland is all we do, so we know what SDAT bounces and why.
The bottom line
Filing for good standing in Maryland is a sequence, not a single form: cure the cause, catch up the reports, file the reinstatement, order the certificate. Get the order right and the entity you restore is the same one you built, same name, same EIN, same history. Send us the entity name and we'll tell you today exactly which filings your record needs and what they'll cost.
